This AUP describes activities prohibited by clients receiving Products and Services from Kincaid Information Technology LLC (“Consultant”) under a Managed Services Agreement. Capitalized terms not otherwise defined in this AUP shall have the meaning given in the Managed Services Agreement.
Without limiting any obligations under the Managed Services Agreement, Client’s use of Products and Services is subject to Client’s acceptance of and compliance with this AUP. Consultant reserves the right to modify this AUP from time to time. Such modifications will be effective when posted at https://kincaidit.com/acceptable-use-policy. Client is responsible for complying with this AUP and for violations directly or indirectly attributable to Client’s employees and Authorized Users. Client agrees that its continued use of the Products and Services shall constitute Client’s acceptance of any modifications to this AUP.
CLIENT CONDUCT
Consultant will determine in its sole discretion whether Client’s or its employees’ or Authorized Users’ conduct violates this AUP.
Client shall not, and shall ensure that its employees and Authorized Users do not, directly or indirectly use Products or Services in a manner that may adversely affect the Products or Services or any other client or user of Consultant’s Products or Services, or to engage in, solicit or endorse irresponsible, illegal or malicious behavior, including, but not limited to:
- Conduct that may violate applicable laws or regulations, infringe or misappropriate any rights of third parties (including rights of privacy and publicity), or which could be considered deceitful, libelous or slanderous;
- Storing or transmitting offensive content, including, but not limited to, child pornography, lewd or obscene acts, abuse or excessive violence, harassing or threatening content, or hate crimes;
- Introducing malicious code into any Product or Service, including, third-party products;
- Unauthorized access to, use of, or interference with any third party’s Internet services, computer systems, data or networks;
- Conduct violating rules, guidelines or community standards of any domain registrar, email service, bulletin board, chat group, or forum used in conjunction with Products or Services;
- Unauthorized collection, transmission or distribution of personal information;
- Fraudulent activities, money laundering, unauthorized financial transactions or solicitations, or illegal gambling; or
- SPAM or other unsolicited communications to third parties in violation of applicable laws.
Client shall not, and shall ensure that its affiliates, and their respective employees and contractors do not, directly or indirectly, attempt to penetrate or test the vulnerability of a Consultant network or computer system, or attempt to breach Consultant’s security policies.
